Valuation and readiness
Before a sale, a fundraising, a shareholder agreement or a family succession: a reasoned valuation, and a readiness review that shows what a buyer will question.

Listed peers, comparable transactions and a cash-flow view of your own plan. Every method reasoned in writing, every assumption visible.
The questions a buyer will ask in due diligence, asked now with your auditors and lawyers: the numbers, contracts, tax, social security, related-party dealings. Each finding with what to do about it.
When, to whom, in what structure. The order in which a sale, a partnership or growth should proceed.
What is my company worth?
Listed peers, comparable transactions and a cash-flow view of your own plan each give a range. The company’s value range is where these methods meet.
Most buyers start from sustainable EBITDA and a multiple. What raises the multiple is growth, predictability and the quality of the numbers.
The headline price is usually enterprise value. What shareholders receive is that value less net debt, adjusted for working capital at closing.
Recurring revenue, a broad customer base, a team that runs without you, consistent numbers, and a clear reason for one buyer to pay more than the others.
Dependence on one customer or on the owner, figures that do not tie to the statutory accounts, unrecorded revenue, open tax or social security items, and unclear ownership of brands and software.
Buyers price in US dollars or euros. Real growth is separated from price effects, and the exchange-rate basis is stated.
A strategic buyer who can do more with the company than you can alone may pay more. Competition between buyers sets the price as much as any method.
What owners ask
Because value depends on the buyer and the terms. Each end of the range has its reason, so in a negotiation you know which end you are defending and why.
We restate the figures and work in US dollars or euros, with the exchange-rate basis stated. Separating real growth from price effects is a foreign buyer’s first question.
For you. It is prepared for your decision, not to hand to a buyer: for a sale, a fundraising, between shareholders or within a family. It is not a valuation report for regulatory or court purposes.
